AGREEMENT TO OUR TERMS AND CONDITIONS

These Terms and Conditions (the “Legal Terms”) govern your access to and use of www.eslando.com and marketplace.eslando.com (together, the “Site”), as well as any related products and services that refer or link to these Legal Terms (collectively, the “Services”).

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of a business entity (“you”), and Satatland LTD, trading as Eslando (“we”, “us”, or “our”), concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time. We will update the “Last updated” date of these Legal Terms, and it is your responsibility to review them periodically. Your continued use of the Services after any revised Legal Terms are posted means you accept those changes.

The Services are intended strictly for business users only. By using the Services, you confirm that you are using them on behalf of a business entity and that you have the authority to bind that entity to these Legal Terms.

We recommend that you print a copy of these Legal Terms for your records.

2. INTELLECTUAL PROPERTY RIGHTS

 

Our intellectual property

We are the owner or licencee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, text, photographs, graphics, and other content in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).

The Content and Marks are protected by copyright, trademark, and other intellectual property laws in the United Kingdom and internationally.

The Content and Marks are provided in or through the Services on an “AS IS” basis for your internal business use only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable licence to:

  • access the Services; and

  • download or print a copy of any portion of the Content to which you have properly gained access,

solely for your internal business use.

Except as expressly permitted in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, republished, uploaded, posted, displayed, translated, transmitted, distributed, sold, licenced, or otherwise exploited for any commercial purpose without our prior written consent.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Your submissions and contributions

If you send us any feedback, suggestions, ideas, comments, or other information relating to the Services (“Submissions”), you agree that we may use and share such Submissions for any lawful purpose without compensation to you.

You retain ownership of content you upload or submit to the Services, including company information, listings, descriptions, images, and related materials (“Contributions”). However, by submitting Contributions, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, publish, distribute, and use such Contributions:

  • to operate and improve the Services;

  • to display listings and company information on the marketplace;

  • to promote your listings, company profile, or marketplace activity in our marketing, communications, case studies, newsletters, and other promotional materials.

You confirm that you own or have all rights necessary to submit such Contributions and to grant the above licence.

You are solely responsible for your Contributions and for ensuring they are lawful, accurate, not misleading, and do not infringe third-party rights.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration information you submit is true, accurate, current, and complete;

  2. You will maintain the accuracy of such information and promptly update it as necessary.

  3. You are using the Services on behalf of a business and have the authority to bind that business;

  4. You have the legal capacity to agree to these Legal Terms;

  5. You will not access the Services through automated or non-human means, including bots or scripts, except as expressly authorised by us;

  6. You will not use the Services for any illegal or unauthorised purpose; and

  7. Your use of the Services will not violate any applicable law or regulation.

If you provide information that is untrue, inaccurate, incomplete, or not current, we have the right to suspend or terminate your account and refuse any current or future use of the Services.

4. USER REGISTRATION

You may be required to register to use certain parts of the Services. You agree to keep your login credentials confidential and will be responsible for all use of your account.

We reserve the right to remove, reclaim, or change a username selected by you if we determine, in our sole discretion, that such username is inappropriate, misleading, or otherwise objectionable.

5. PURCHASES AND PAYMENT

Certain features of the Services may require payment of subscription fees.

All subscription payments are processed through our third-party payment provider, currently Stripe. By purchasing a paid plan, you agree to provide current, complete, and accurate billing and payment information and to keep it updated.

All prices are stated and charged in GBP (£) unless otherwise stated. Prices displayed in other currencies are approximate and shown for reference only.

We reserve the right to change pricing at any time. We also reserve the right to refuse or cancel any order or subscription in our sole discretion.

Trading payments between buyers and sellers on the marketplace are not handled by Eslando. Buyers and sellers are solely responsible for arranging and settling payment directly between themselves unless otherwise agreed in writing.

6. SUBSCRIPTIONS

 

Billing and Renewal

Your subscription will continue and automatically renew unless cancelled. You authorise us to charge your payment method on a recurring basis for the applicable subscription fees until cancellation.

The length of your billing cycle depends on the subscription plan you choose.

Cancellation and Plan Changes

Users on the Buyer Connect plan may upgrade to the Core plan at any time through their account dashboard.

Users on the Core plan may upgrade, downgrade, or cancel their subscription through their account dashboard. Any changes will take effect in the next billing cycle.

Fee Changes

We may change subscription fees from time to time and will communicate such changes through the Services or by email where appropriate.

7. REFUND POLICY

All subscription payments are governed by our Refund Policy.

Unless otherwise stated in writing, all sales are final and no refunds will be issued. No refunds are provided for partial billing periods, unused time, account inactivity, downgrades, or cancellations taking effect at the end of a billing cycle.

8. MARKETPLACE DISCLAIMER

The Services are designed to connect businesses. Eslando is not a party to any transaction between users.

We do not verify:

  • the identity of buyers or sellers;

  • the accuracy of listings;

  • material specifications;

  • feedstock quality;

  • ownership of listed goods;

  • regulatory compliance of materials;

  • payment performance;

  • shipping, customs, or logistics arrangements.

Any inspection, verification, or related support services offered by Eslando are provided separately and may be subject to additional fees and separate terms.

Users are solely responsible for carrying out their own due diligence before entering into any transaction, including checking counterparties, specifications, pricing, quality, compliance, logistics, and payment terms.

Any disputes relating to transactions, including disputes about quality, quantity, contamination, shipping, late delivery, non-payment, or misrepresentation, are strictly between the relevant users. Eslando is not responsible for resolving such disputes and shall have no liability arising from them.

Eslando currently charges 0% commission on successful marketplace trades, but we reserve the right to introduce transaction fees in the future.

In some cases, Eslando may participate in private trade introductions or off-platform introductions sourced through our network. Any fees applicable to such arrangements will be communicated separately.

9. PROHIBITED ACTIVITIES / ACCEPTABLE USE

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to:

  • publish false, inaccurate, or misleading listings or company information;

  • misrepresent the type, condition, ownership, origin, composition, or availability of any material;

  • upload or list illegal, restricted, hazardous, or prohibited materials;

  • use the Services in a way that violates any law, regulation, sanction, or export control requirement;

  • trick, defraud, or mislead us or other users;

  • misuse the messaging system or send spam, unsolicited promotions, or repetitive communications;

  • scrape, copy, harvest, or systematically retrieve data or content from the Services without written permission;

  • interfere with security-related features of the Services;

  • upload viruses, malicious code, or other harmful material;

  • impersonate another person or business;

  • attempt to gain unauthorised access to the Services or related systems;

  • use bots, scripts, or automated tools to access or use the Services without our written consent;

  • collect usernames or email addresses for unsolicited communications;

  • use the Services to compete with us or build a competing database, directory, or platform;

  • upload content that is defamatory, abusive, threatening, obscene, discriminatory, deceptive, or otherwise objectionable.

Any use of the Services in violation of this section may result in suspension or termination of your access.

10. USER GENERATED CONTENT

The Services may allow you to create or make available Contributions, including company details, listings, descriptions, RFQs, messages, documents, and images.

By submitting Contributions, you represent and warrant that:

  • you own or control the rights necessary to submit them;

  • they do not infringe the intellectual property, privacy, or other rights of any third party;

  • they are not false, misleading, or deceptive;

  • they do not violate any applicable law or regulation;

  • they do not include unlawful, defamatory, threatening, abusive, discriminatory, or harmful material;

  • they do not contain malware, malicious code, or harmful content.

You remain solely responsible for your Contributions and agree to indemnify us for losses arising from your breach of this section.

11. SERVICES MANAGEMENT AND MODERATION

We reserve the right, but not the obligation, to:

  1. Monitor the Services for violations of these Legal Terms;

  2. review, remove, edit, or restrict access to any listing, profile, message, or other content;

  3. suspend or terminate accounts;

  4. block certain IP addresses or access attempts;

  5. take legal action or report conduct to law enforcement or regulatory authorities where appropriate;

  6. manage the Services in a way designed to protect our rights, property, systems, users, and reputation.

We may take these actions at our sole discretion and without liability to you.

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

The Services may be hosted or supported using infrastructure located in the United Kingdom and other jurisdictions. By using the Services, you acknowledge that your information may be processed in accordance with our Privacy Policy.

13. TERM AND TERMINATION

These Legal Terms remain in full force while you use the Services.

Without limiting any other provision of these Legal Terms, we reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person or business for any reason, including for breach of these Legal Terms or any applicable law.

We may suspend or terminate your account, remove your content, or restrict access to the Services at any time.

If your account is suspended or terminated, you may not create a new account without our prior written consent.

14. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, suspend, or discontinue all or part of the Services at any time without notice.

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free. From time to time, the Services may be unavailable due to maintenance, updates, technical issues, or events beyond our control.

We will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

15. GOVERNING LAW

These Legal Terms are governed by and interpreted in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these Legal Terms or the Services.

16. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, or other information. We reserve the right to correct any errors, inaccuracies, or omissions and to update information at any time without prior notice.

17. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO REPRESENTATION OR WARRANTY THAT:

  • LISTINGS ARE ACCURATE OR COMPLETE;

  • USERS ARE WHO THEY CLAIM TO BE;

  • MATERIALS MEET ANY SPECIFICATION OR QUALITY STANDARD;

  • TRANSACTIONS WILL BE COMPLETED;

  • PAYMENTS WILL BE MADE;

  • DELIVERIES WILL OCCUR;

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE ARE NOT RESPONSIBLE FOR ANY TRANSACTION BETWEEN USERS OR FOR ANY PRODUCTS, MATERIALS, SERVICES, LOGISTICS, PAYMENTS, OR AGREEMENTS ARRANGED BETWEEN USERS.

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WE, OUR DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF OPPORTUNITY, OR REPUTATIONAL DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

WE SHALL NOT BE LIABLE FOR:

  • USER-TO-USER DISPUTES;

  • MISREPRESENTATION BY USERS;

  • QUALITY, QUANTITY, CONDITION, OR LEGALITY OF MATERIALS;

  • PAYMENT FAILURES OR FRAUD;

  • SHIPPING, CUSTOMS, OR DELIVERY ISSUES;

  • DELAYS, PLATFORM DOWNTIME, OR DATA LOSS;

  • ACTIONS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE ONE (1) MONTH PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Satatland LTD, trading as Eslando, and our officers, employees, agents, affiliates, and service providers from and against any loss, liability, claim, demand, damage, cost, or expense (including reasonable legal fees) arising out of or related to:

  1. your use of the Services;

  2. your breach of these Legal Terms;

  3. Your contributions or listings;

  4. your dealings or disputes with another user;

  5. your violation of any law or the rights of a third party.

We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you.

20. USER DATA

We may maintain data that you transmit to the Services for the purpose of operating and improving the Services.

Although we take reasonable steps to protect and back up data, you are solely responsible for your own data and records. You agree that we shall have no liability for any loss or corruption of any data transmitted to or stored on the Services, except to the extent required by law.

21. ELECTRONIC COMMUNICATIONS

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive communications from us electronically and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.

You also agree to the use of electronic signatures, contracts, orders, and records in connection with the Services.

22. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement between you and us regarding the Services.

Our failure to enforce any right or provision shall not operate as a waiver of that right or provision.

If any provision of these Legal Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Nothing in these Legal Terms creates any partnership, joint venture, employment, agency, fiduciary, or brokerage relationship between you and us.

We may assign our rights and obligations under these Legal Terms at any time.
